TERMS & CONDITIONS OF BUSINESS
These terms & conditions supersede all previous terms & conditions of Digital Video Doctor. Digital Video Doctor reserves the right to modify these Terms And Conditions without notice.
All terms & conditions contained in any other document, or issued by other persons are invalid unless specifically agreed in writing, by Digital Video Doctor. No statement, description or condition, specific or implied, contained in any document, advertisement or other communication medium, whether verbal or written, for or on behalf of Digital Video Doctor, shall imply any warranty or in any way enlarge, vary or override these conditions, unless specifically confirmed to do so, in writing, by Digital Video Doctor.
DEFINITIONS
In these conditions Digital Video Doctor and Allidoc, LLC (including its employees authorised to provide goods and/or services on its behalf) are referred to as “Digital Video Doctor”, and the individual or organization or representatives of the organization that is purchasing or hiring the goods or services from Digital Video Doctor is referred to as “the Client.”
PRICES
Quotes and Estimates are subject to change after Digital Video Doctor actually receives and reviews all of Client’s original material. All price information provided by Digital Video Doctor to Client is subject to expire 30 days after date of Quote or Estimate unless otherwise stated on the Digital Video Doctor Quote or Estimate.
ORIGINAL MATERIAL
All original material will be returned to Client unless otherwise agreed with Client.
PAYMENT
Terms are C.O.D. unless otherwise specified by Digital Video Doctor. Payment by Client is due upon receipt of Invoice, which will accompany finished goods or completed services. Digital Video Doctor may choose to give Client 30 day terms, based on a Client’s good payment history. Digital Video Doctor reserves the right to charge interest at 1.5% per month or the highest rate allowed by law.
DELIVERY COSTS
Unless other agreement is made between Client and Digital Video Doctor, Client agrees to incur any delivery/courier costs for delivering Client’s original material to Digital Video Doctor and for Client picking up finished goods and Client’s original material from Digital Video Doctor.
DVD COMPATIBILITY
Digital Video Doctor makes General Purpose DVD-Rs. Most, but not all, consumer set-top DVD players and PCs/Macs with appropriate system requirements will play these discs.
LIABILITY
Client agrees to not hold liable Digital Video Doctor for inadvertent damage to old movie reel film, which can be fragile and brittle, or for any damage or loss of Client’s original material in case of hurricane, fire, flood, theft, or abnormal condition beyond the control of Digital Video Doctor. In any case, the maximum amount for which Digital Video Doctor will be held liable is the replacement value of new, blank media of a similar specification.
ARCHIVING OF FILES
All video files are subject to deletion from Digital Video Doctor computers unless arrangements are made to archive these files within 90 days after Invoice Date. During some projects, due to their nature and the process of work involved, no video files will be stored at Digital Video Doctor.
RIGHT OF REFUSAL
Digital Video Doctor reserves the right to refuse any original material deemed to be explicit in nature in the sole judgement of Digital Video Doctor.
COPYRIGHT
Client represents, guarantees and warrants that no copyright infringements will take place as a result of the services provided to the Client by Digital Video Doctor. Client represents and warrants that to the best of Client’s knowledge, no one owns or claims to own any interest in or intellectual property rights to any material used in Client’s project.
CANCELLATIONS
Digital Video Doctor reserves the right to terminate at any time, and without explanation or recourse, any agreement for the supply of goods or services, if in its sole opinion there is, or is likely to be, a breach of any of these conditions.
ACCEPTANCE
By entering into a contract with, and accepting goods or services from Digital Video Doctor, whether the agreement is verbal or written, the Client agrees to accept and be bound by these Terms And Conditions in their entirety. Digital Video Doctor and the Client agree that these Terms And Conditions of business shall be governed by, and interpreted according to, United States law, and Harris County, Texas courts are deemed to have jurisdiction.
